Pioneer to Absorb One of Its Wholly-Owned Subsidiaries

Pioneer Corporation (“the Company”) today announced that it has entered into an agreement with Tohoku Pioneer Corporation (“Tohoku Pioneer”), one of its wholly-owned subsidiaries, to absorb the latter under an absorption-type merger, which is scheduled to take effect on October 1, 2026. Tohoku Pioneer, headquartered in Tendo, Yamagata Prefecture, serves as the Pioneer Group’s primary arm for its sound business. Upon the completion of the merger, the Company will emerge as the surviving entity, while Tohoku Pioneer will be absorbed into the Company. The services, business operations, and contractual obligations and rights currently provided, undertaken, or owned by Tohoku Pioneer will be transferred to the Company in their entirety.

1.Purpose of the merger

As previously announced, effective December 1, 2025, the Company has become a member of a corporate group led by CarUX Holding Limited (“CarUX”), a subsidiary of Innolux Corporation and Tier 1 supplier of integrated smart-cockpit solutions. The merger with Tohoku Pioneer is anticipated to bolster the Company’s operating foundation, optimize its resource allocation, and expedite its decision-making processes, which will provide the Company with a solid basis for pursuing the smart-cockpit strategy in the global market in collaboration with CarUX. In alignment with the CarUX Group’s vision “Pioneering in-Car User eXperience,” the Company will create greater value by leveraging Tohoku Pioneer’s decades of experience and expertise in continuously advancing sound technology and incorporating it into a variety of sound products and solutions, including car speakers.

(1) Type of merger

This is an absorption-type merger in which the Company will be the surviving entity, and Tohoku Pioneer will be the absorbed entity. As a result of the merger, the latter will be dissolved.
